Acquiring a business is not an end in itself, but instead is one tool designed to achieve the company’s objectives and execute its strategy. Success or failure of M&A deal will depend on M&A strategy, M&A plan and deal structuring. Our team will help you to work out M&A strategy, determining acquisition criteria, and analyze if a potential acquisition matches the company's strategy and objectives. Our specialists will help you to work out a detailed M&A plan, which determines action points, responsible persons (consultants, lawyers) and sets up a deal timeline.
After the preparation stage we will conduct an M&A search, designed to identify posible acquisition candidates. In addition  we will prepare a preliminary analysis and valuation of acquisition candidates . With your authorisation we will contact potential targets and start the negotiation process.
 
All valuation reports will be prepared by professional appraisers. As appropriate valuations will include DCF analyzes, market value (comparable transactions, comparable companies) and assets valuation.

Deal structuring is aimed to determine the key objectives of the parties involved, and associated risks related to their achievement. Deal structuring includes such issues as: purchase price, method of purchase, including stock, cash or a combination, method of financing legal, tax and after-acquisition issues. Our specially trained professionals will help you to keep the balance of power, get the better price and make a good deal.

The objective of any business combination, whether a merger or an acquisition, is to retain the value of the acquired company and to achieve a higher level of future growth. A business combination with a supplier or buyer (vertical integration) will give an opportunity to optimize value chain and avoid painful cost cutting. A business combination with a competitor (horizontal integration) could give an opportunity to gain competitive advantage through economy of scope or economy of scale. In both cases the objective is to not only to retain corporate value but become stronger and gain market share.
